Terms of Use

These Terms of Use (“Terms”) govern access to and use of public websites, demonstration materials, patient-facing pages, and other services made available by VeriPrep LLC (“VeriPrep,” “we,” “us,” or “our”) unless a separate written agreement applies.

Important Distinction for Clinic Customers

Healthcare organizations that purchase or subscribe to VeriPrep may enter into a separate VeriPrep Services Agreement and Business Associate Agreement.

If you or your organization has executed a VeriPrep Services Agreement, that agreement governs your organization's subscription to and use of the paid VeriPrep Services and controls over these Terms in the event of a conflict.

If a Business Associate Agreement applies, the BAA controls concerning Protected Health Information.

These Terms are not intended to replace either agreement.

The Service

VeriPrep provides software that healthcare organizations may use to:

  • Create and manage procedure-preparation protocols;
  • Enroll patients in preparation guides;
  • Deliver scheduled preparation-related communications;
  • Present preparation instructions through a mobile web guide;
  • Record guide engagement and patient-reported actions;
  • Automate certain follow-up communications; and
  • Help authorized Clinic staff identify patients who may require additional attention.

Features vary by subscription plan and configuration.

VeriPrep Does Not Provide Medical Care

VeriPrep is a software and communications platform.

VeriPrep:

  • Does not practice medicine;
  • Does not diagnose or treat patients;
  • Does not provide medical advice;
  • Does not independently determine which medical preparation instructions a patient should follow;
  • Does not replace a healthcare professional's clinical judgment; and
  • Does not guarantee that use of VeriPrep will prevent a cancellation, inadequate preparation, adverse event, or other clinical outcome.

Patients should follow the instructions provided or approved by their healthcare provider and should contact their healthcare provider with medical questions.

If instructions displayed through VeriPrep conflict with instructions directly provided by a patient's healthcare provider, the patient should contact the provider for clarification.

Clinic Responsibilities

Clinics using VeriPrep are responsible for:

  • The clinical accuracy and appropriateness of the preparation instructions they publish or approve;
  • Reviewing protocols and templates before using them with patients;
  • Determining which instructions are clinically important;
  • Obtaining and documenting legally required patient consent or authorization;
  • Maintaining accurate Clinic contact and scheduling information;
  • Maintaining the security of Clinic user credentials;
  • Providing access only to authorized workforce members;
  • Responding appropriately to patient communications and information surfaced through VeriPrep; and
  • Using VeriPrep in compliance with applicable law.

VeriPrep may provide example or system templates as starting points. Such templates do not constitute medical advice and must be reviewed and approved by the Clinic before patient use.

Patient Use

Patients may receive access to VeriPrep because a healthcare provider enrolled them or provided a self-enrollment link.

Patient-facing guides are provided on behalf of the applicable Clinic.

Patients may not:

  • Attempt to access another patient's guide;
  • Share or misuse another person's guide link;
  • Attempt to bypass access restrictions;
  • Interfere with the operation or security of VeriPrep; or
  • Use VeriPrep for any unlawful purpose.

A guide link functions as a credential to the information associated with that guide and should be protected accordingly.

SMS Communications

Patients may receive preparation-related SMS messages after the applicable enrollment process records consent.

Message frequency varies according to the Clinic's preparation protocol and the features being used.

Message and data rates may apply.

Patients may reply STOP to opt out of applicable SMS communications.

Opt-out processing may occur through the wireless carrier or communications provider in addition to VeriPrep's own systems. A carrier or provider may deliver the applicable opt-out notice.

Supported re-enrollment or opt-in keywords may be available depending on the messaging service.

Clinics may not use VeriPrep to send unsolicited, deceptive, promotional, or otherwise unlawful SMS messages.

Privacy and HIPAA

Our collection and use of information is described in the VeriPrep Privacy Policy.

For healthcare customers subject to HIPAA, VeriPrep processes PHI as a Business Associate pursuant to an applicable Business Associate Agreement.

A Clinic customer may not use VeriPrep to process real patient PHI until the applicable BAA requirement has been satisfied.

Account Security

Users are responsible for maintaining the confidentiality of account credentials and for activity occurring through their accounts.

You must promptly notify VeriPrep if you believe:

  • An account has been compromised;
  • Credentials have been disclosed to an unauthorized person; or
  • Unauthorized access to VeriPrep or patient information has occurred.

You may not share credentials in a way that defeats VeriPrep's authorization or audit controls.

Prohibited Uses

You may not use VeriPrep to:

  • Violate applicable law;
  • Enroll patients without required consent;
  • Send unsolicited or unlawful communications;
  • Upload or publish intentionally false or misleading preparation instructions;
  • Attempt to access another Clinic's or patient's data;
  • Circumvent security or authorization controls;
  • Probe, scan, or test the vulnerability of VeriPrep without authorization;
  • Introduce malicious code;
  • Interfere with or disrupt the Services;
  • Reverse engineer the Services except to the extent such restriction is prohibited by law;
  • Resell or sublicense access without VeriPrep's authorization; or
  • Use VeriPrep to build or train a competing product through automated extraction or systematic copying of the Services.

Intellectual Property

VeriPrep and its licensors own the software, interface, design, systems, documentation, trademarks, templates, and other proprietary materials making up the VeriPrep platform, except for content owned by Clinics or other third parties.

These Terms do not transfer ownership of VeriPrep intellectual property.

“VeriPrep,” the VeriPrep logo, and related branding may not be used without permission except as permitted by law.

Demonstration Materials

Public demonstrations, sample guides, templates, screenshots, and similar materials are provided for evaluation and informational purposes.

Demo content:

  • May not reflect a Clinic's actual medical protocol;
  • Is not medical advice;
  • Should not be used by a patient as a substitute for instructions from their own healthcare provider; and
  • May change without notice.

Third-Party Services

VeriPrep depends on third-party infrastructure, telecommunications, internet, and technology services.

VeriPrep is not responsible for failures caused solely by systems outside VeriPrep's reasonable control, including carrier outages, internet failures, device failures, or third-party platform interruptions.

Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUBLIC WEBSITES, DEMONSTRATIONS, AND OTHER SERVICES GOVERNED SOLELY BY THESE TERMS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VERIPREP DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.

VERIPREP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR GUARANTEE ANY PARTICULAR CLINICAL OR FINANCIAL OUTCOME.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR USE OF WEBSITES, DEMONSTRATIONS, PATIENT-FACING PAGES, AND OTHER SERVICES GOVERNED SOLELY BY THESE TERMS, VERIPREP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIPREP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO SERVICES GOVERNED SOLELY BY THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. IT DOES NOT MODIFY AN EXECUTED VERIPREP SERVICES AGREEMENT OR BUSINESS ASSOCIATE AGREEMENT, WHICH GOVERN A PAYING CLINIC'S SUBSCRIPTION, INCLUDING ITS LIABILITY TERMS.

Clinic Subscriptions

Pricing, payment, subscription term, cancellation, service levels, liability allocation, and other commercial terms for paying Clinic customers are governed by the applicable VeriPrep Services Agreement or other written ordering document.

A pricing statement displayed publicly on a VeriPrep website does not modify an existing Clinic's executed agreement or agreed subscription price.

Suspension and Termination

VeriPrep may restrict or terminate access governed solely by these Terms where reasonably necessary to:

  • Protect security or patient information;
  • Prevent unlawful use;
  • Respond to a legal requirement;
  • Prevent material interference with the Services; or
  • Address a material violation of these Terms.

Rights concerning a paying Clinic's subscription are governed by its Services Agreement.

Changes to These Terms

We may update these public Terms from time to time.

The revised Terms will apply prospectively to use governed by these Terms after the updated version is posted.

An update to these public Terms does not amend an executed VeriPrep Services Agreement or BAA unless that agreement expressly permits the change or the parties separately agree to the amendment.

Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.
