Terms of Service

These Terms of Service ("Terms") govern your use of VeriPrep Health LLC's ("VeriPrep") services at veriprep.health. By using VeriPrep, you agree to these Terms.

THE SERVICE

VeriPrep provides procedure preparation guide software to healthcare organizations. The service delivers timed SMS reminders and a mobile web guide to patients enrolled by clinic staff.

CLINIC ACCOUNTS

Healthcare organizations ("clinics") may create accounts to build preparation protocols and enroll patients. Clinics are responsible for:

• Obtaining patient consent before enrollment
• Ensuring the accuracy of preparation content they create
• Maintaining the security of staff account credentials
• Compliance with HIPAA and applicable healthcare regulations

PATIENT SMS CONSENT

Clinics must obtain explicit patient consent before enrolling a patient to receive SMS messages. VeriPrep provides consent capture tools including a staff attestation checkbox and a patient self-enrollment consent flow. The clinic is responsible for ensuring consent is valid and documented.

Patients enrolled to receive SMS messages understand that message frequency varies based on their procedure preparation schedule, that message and data rates may apply, and that they may opt out at any time by replying STOP to any message. Opt-out requests are honored immediately. A confirmation message is sent upon opt-out.

PROHIBITED USES

You may not use VeriPrep to:

• Send unsolicited SMS messages
• Enroll patients without their consent
• Transmit false or misleading medical information
• Violate any applicable law or regulation
• Attempt to access another organization's data

HIPAA COMPLIANCE

VeriPrep enters into a Business Associate Agreement with each clinic customer. Clinics remain the Covered Entity responsible for their patients' protected health information. VeriPrep processes PHI only as directed by and on behalf of the clinic.

SUBSCRIPTION AND BILLING

VeriPrep is offered on a monthly subscription basis. Subscription fees are billed in advance. Clinics may cancel at any time. Active patient guides will continue to function through the end of the billing period. No refunds are issued for partial months.

DISCLAIMER

VeriPrep is a communication and instruction delivery platform. It is not a medical device, does not provide medical advice, and does not replace clinical judgment. Preparation content is authored entirely by clinic staff. VeriPrep makes no representations about the clinical accuracy or completeness of any preparation protocol.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, VeriPrep's liability for any claim arising from use of the service is limited to the amount paid by the clinic in the three months preceding the claim.

CHANGES TO TERMS

We may update these Terms periodically. Continued use of the service after an update constitutes acceptance of the revised Terms.

GOVERNING LAW

These Terms are governed by the laws of the State of Arizona.
